MASTER SERVICE AGREEMENT TERMS

Enterprise Terms of Service

Last revised: October 2026 • Governing technical advisory & software deliverables

1. Scope of Engagement & Authority

These Terms of Service ("Terms") govern the provision of high-performance software engineering, artificial intelligence systems design, data architecture, and technical consulting services provided by Teju Agency ("Teju") to corporate entities, institutional clients, and enterprise partners ("Client").

2. Statements of Work (SOW) & Delivery Phases

All professional engagements are executed under detailed Statements of Work (SOWs) specifying technical scope, milestones, architectural acceptance criteria, and project timelines. Teju delivers systems using rigorous domain-driven methodology and staged validation gates.

Modifications to project scope require mutual written agreement via formal change order protocols to ensure architectural integrity and budget predictability.

3. Mutual Non-Disclosure & Confidentiality

Prior to technical discovery, both parties enter into enforceable bilateral Non-Disclosure Agreements (NDAs). Teju covenants to safeguard all proprietary business models, database topologies, trade secrets, and institutional operations with the utmost commercial standard of care.

4. Intellectual Property & Transfer of Title

Upon final milestone sign-off and receipt of corresponding compensation, Teju grants and assigns to the Client all worldwide rights, title, and ownership in custom software deliverables, source repositories, documentation, and trained application models created specifically for the Client.

Pre-existing proprietary frameworks, baseline tooling, and open-source libraries incorporated into deliverables remain governed by their respective standard enterprise licenses, granted to Client under perpetual, royalty-free usage rights.

5. Performance Warranties & Service Levels

Teju warrants that all engineered systems meet agreed-upon functional specifications, security baselines, and industry standards for fault tolerance. We provide post-deployment warranty periods for defect remediation as stipulated in individual contract schedules.

Teju does not warrant that third-party cloud infrastructure (e.g., AWS, Azure, Google Cloud) will operate uninterrupted, but commits to architecting resilient, failover-tolerant systems designed to withstand cloud-level degradations.

6. Governing Law & Jurisdiction

These Terms shall be interpreted and enforced in accordance with commercial laws applicable to international software development engagements, with primary corporate venue established in Miami, United States, unless explicitly negotiated otherwise in executed master agreements.
